WABCO Holdings Inc. announced its board of directors appointed Jacques Esculier, chief executive officer, to the additional role of board chairman after WABCO’s annual shareholder meeting on May 28. Esculier has been leading WABCO since January 2004.
WABCO announced in March that Esculier would assume the additional role of board chairman in a transition with James Hardymon, the company’s nonexecutive board chairman since July 2007. Also announced in March, the board of directors appointed Hardymon to lead director, effective May 28. This transition was subject to Hardymon’s re-election for a new term at WABCO’s 2009 annual shareholders meeting, during which shareholders approved the board’s proposal to re-elect Hardymon, Michael Smith and John Fielder as directors for a further three-year term.
Shareholders also approved the board’s 2009 Omnibus Incentive Plan and ratified the appointment of Ernst and Young as its auditors for the remainder of the year.
