Doubling Down

After several tough years, the largest carriers gain confidence in the hand they are dealt



If you ever want evidence that a single year’s performance can be misleading, look no further than 2010. The for-hire carriers in the CCJ Top 250 reporting revenue posted 10.5 percent growth over 2009. Excluding package giants UPS and FedEx – whose numbers often skew the overall performance – the CCJ Top 250 still brought in 9.7 percent more revenue in 2010. Every industry segment saw higher revenues – even household goods carriers suffering through a prolonged and severe housing slump.

While revenue growth in 2010 may not be surprising, that doesn’t mean 2010 was a great year. Percentage growth is merely a relative measure, and 2009 was a relatively bad or absolutely bad year for most carriers. Revenue fell by more than 18 percent in 2009 compared to 2008, and 2008 was a year of weak revenue growth. Excluding UPS and FedEx, revenue plunged 22 percent in 2009. Freight might have been better in 2010 than it was a number of years earlier, but it was hauled by capacity built to handle peak volume in the mid-2000s.

The good news is that based on freight data and reports of publicly traded carriers, the rebound that began in 2010 is still going strong.

Failure was not an option

Perhaps one of the best signs of recovery in 2010 and 2011 is that there hasn’t been a single failure of a major trucking company since publication of last year’s CCJ Top 250. The last big collapse was flatbed carrier Arrow Trucking in late 2009.

But the CCJ Top 250 still has seen significant change through mergers and acquisitions. The deals involving Top 250 carriers include:

• No. 15 TransForce buying Dynamex (No. 56 last year);

• No. 18 Ryder Supply Chain Solutions buying The Scully Companies (No. 159 last year);

• No. 22 Kenan Advantage Group buying DistTech (No. 217 last year);

• No. 41 Vitran Corp. buying the LTL division of No. 249 Milan Express;

• No. 51 Transport Corporation of America buying Southern Cal Transport (No. 127 last year);

• No. 60 Roadrunner Transportation Systems buying Morgan Southern (No. 224 last year); and

• No. 177 Online Transport buying Frontier Transport from Vitran.

In addition to mergers and acquisitions among carriers, there also were transactions involving private equity groups and carriers. Just last month, for example, Tenex Capital Management acquired No. 109 LinkAmerica Corp. These deals indicate confidence in the future of trucking companies, but they typically don’t affect the CCJ Top 250 rankings.

A fairly even recovery

Just as for-hire carriers suffered pain relatively uniformly in 2009, their recovery in 2010 was fairly uniform as well. Refrigerated carriers didn’t see the revenue growth of general freight, but neither did they see the huge decline in 2009.

The strongest growth by segment was 22 percent among motor vehicle haulers, recovering from a 29 percent decline in 2009. And the flatbed/specialized/heavy haul sector saw growth slightly higher than the industry average at 13 percent. In 2009, that segment had seen the greatest year-over-year decline.

Another outlier was the household goods segment still reeling from the collapse in the housing market. Still, these carriers were able to eke out a 1 percent increase over 2009. That’s better than a decline, but household goods carriers had experienced several years of revenue drops. The general freight, talk/bulk and package segments saw 11 to 12 percent growth – just about the industry average.

The big question, of course, is whether 2011 will end up better than 2010. So far so good, but many trucking executives are on edge about employment, housing and the cost of equipment and availability of additional drivers in a tighter regulatory environment.


ABOUT THE CCJ TOP 250

CCJ has ranked the top for-hire trucking companies since the late 1960s. The CCJ Top 250 is the most comprehensive ranking of carriers. Our ranking takes into account not only the revenues posted by a trucking company but also its fleet size and employment base. The size of a carrier’s truck, tractor and trailer fleet indicates its level of investment, while driver employment and owner-operator arrangements suggest a carrier’s value as a supplier of jobs.

Brown Trucking

Product diversification main goal of growth strategy

Navigation Capital Partners, which in 2008 purchased James Brown Contracting Inc. – an Atlanta-based dedicated short-haul truckload carrier more commonly known as Brown Trucking – knew the recession wouldn’t last forever and was ready to grow and diversify its new property. But the investment group bided its time and waited for the right companies, and when opportunity knocked last year, Brown announced two buyouts within a two-month span.

Last September, Brown acquired Schrader Trucking Co. Inc., a Jefferson City, Tenn.-based dry van truckload carrier. Schrader, with 95 trucks and 201 trailers, operates across the Southeast as well as in the Midwest, Mid-Atlantic, Texas and Canada. The company’s primary commodities are plastics, vinyl films, retail, building materials and industrial machinery parts.

But Brown wasn’t finished; two months later, the company acquired Durham, N.C.-based West Brothers’ Companies, a provider of transportation, logistics and leasing of commercial fleet services in the Southeast with 220 trucks and 600 trailers. The purchase gave Brown a combined total of 850 trucks and 3,500 trailers. West primarily works in verticals such as paper, construction machinery, personal care products, consumer packaging and pharmaceuticals.

Brown historically has focused on dry van truckload service to the paper and packaging, major appliances, consumer packaged goods and building materials industries across nine southeastern states. The West acquisition opened three new lines of business for Brown and included four subsidiaries: a dedicated trucking company, a global freight brokerage services provider, an asset-based full-service truck leasing and maintenance company, and a contract warehousing and distribution services provider. Each West entity now is a division of Brown.

Brian Kinsey, chief executive officer of Brown, says the acquisitions weren’t as much about creating a larger company as they were about diversifying Brown’s product offerings for customers. “Our combined companies can now offer an integrated solution across the supply chain for customers in a variety of industries throughout the Southeast, expanding to other parts of the U.S. and Canada,” Kinsey says.

Even though NCP’s 2008 acquisition of Brown roughly coincided with the recession, the trucking company continued to explore growth opportunities at a time when freight was hard to find. “Both (Schrader and West) were very successful, very profitable, and we only look for good, profitable companies,” Kinsey says. “You never can time these things, but when an opportunity comes along, you can’t wait.”

When asked about possible future acquisitions by Brown, Kinsey sees “kind of a conflict” among potential targets considering a sale in today’s economic and regulatory environment. “Business looks like it’s getting better, but it will take capital to stay around, and I think everyone sees the business is getting harder. Pending regulations might have a lot of people bailing out. Being in compliance will be very difficult.” – Dean Smallwood

Transport America

Asset control philosophy sparks major acquisition

Before 2011, Transport Corporation of America wasn’t exactly small potatoes. The Eagan, Minn.-based company already had more than 1,000 trucks and drivers and nearly 4,000 trailers. But thanks to the company’s January acquisition of Birmingham, Ala.-based Southern Cal Transport, Transport America now boasts more than 2,200 drivers and more than 350 teams.

Keith Klein, Transport America executive vice president and chief operating officer, says the purchase of Southern Cal Transport was made at a time when many other companies are moving away from asset-based models, and that the market will want carriers that control their own assets and provide quality service. “They’re trying to move away from the investment,” Klein says of players shifting to asset-light models. “That has left us with an opening. We believe the customer is going to reward the companies with assets.”

According to Klein, customers will see a strong, diverse offering of capabilities from the combined companies. The acquisition, terms of which were not disclosed, marries Transport America’s strengths in solo, dedicated, intermodal, brokerage and Mexico/Canada operations with Southern Cal’s strengths in team, intermodal drayage, dedicated, brokerage and regional. “It really allowed us to add more product offerings to our suite,” he says. “We’re able to open more doors and bring more solutions to our customers.”

To make the transition seamless to its customers, Transport America and Southern Cal Transport initially operated independently, preserving billing and contractual relationships. The companies weren’t trying to keep their union a secret, however, as the Websites for both firms openly tout the acquisition on their front pages.

“We looked at the marketplace and knew the economy was coming back, and knew what we needed to do to bring more value to our customers, our employees and our shareholders,” Klein says. “You need to be a certain size to bring a meaningful capacity to customers, but small enough to provide an intimate solution to them.”

In order to shore up its driver supply for the newly beefed-up fleet, Transport America recently announced a series of driver pay increases. The company also has taken extra care to ensure it is Compliance Safety Accountability-compliant and has implemented electronic logs for the majority of its driver force.

“The customer base and our employees and drivers are very excited about what we’ve created,” Klein says. “A lot of people want to join our organization. The U.S. economy is resilient and will continue to bounce back, and things are going to get tight. We think good years are ahead for trucking, and we’re in a position to capitalize as the market comes back.”

Roadrunner Transportation SYSTEMS

IPO, acquisitions drive steep revenue gains

By any measure, 2010 was a banner year for Roadrunner Transportation Systems, which posted more than 30 percent revenue growth thanks to strong pricing discipline, organic growth and acquisitions. In May of that year, the company went public, raising $148.1 million selling more than 10 million shares and deleveraging the company in the process. The initial public offering allowed the Cudahy, Wis.-based transportation service provider to set its sights on strategic acquisitions.

“We launched the IPO on the tail end of a very tough recessionary period, and we were able to do that because of our profitability and what we accomplished in 2009,” says Mark DiBlasi, president and chief executive officer.

At the end of 2009, Roadrunner acquired multimodal transportation provider Bullet Freight Systems. After launching the IPO, it also has acquired two companies, Conley, Ga.-based drayage company Morgan Southern and Wichita, Kan.-based M. Bruenger Trucking. In both instances, DiBlasi says the company acquired profitable well-run carriers. “We’re not in the business of buying fixer-uppers,” he says.

With a heavy mix of company drivers, the Bruenger Trucking acquisition was a departure from Roadrunner’s asset-light philosophy but added valuable capacity in the central United States. “The majority of our truckload capacity and operation is east of the Mississippi [River] and heavily based on the Eastern Seaboard,” says DiBlasi. “Bruenger allows us to tie in a lot of their east-west lanes in our truckload operation that gives us further capacity across the United States. We think going forward over the next few years, capacity is going to be very important in transportation.”

The Morgan Southern acquisition provided an immediate footprint in the intermodal market and opened a new suite of offerings for Roadrunner’s customers.

“There’s a significant amount of LTL customers that have a need for drayage,” says DiBlasi. “In certain lanes, it’s very effective and efficient for us to put some freight on rail where transit times via rail can match transit times over the road.” The company currently uses intermodal for 80 to 100 LTL loads per week, and DiBlasi believes the intermodal market is poised for continued growth.

“Shippers take a real hard look at how they move their freight when fuel gets to 4 dollars,” he says. “Those that survived the recession realize they can deal with a longer transit time with more cost savings.”

In addition to organic growth, Roadrunner plans to continue its acquisition strategy in the future to round out its service offerings, targeting nonasset- or light asset-based companies. “We have a robust pipeline of acquisition opportunities that we’re currently looking at,” says DiBlasi. – Jeff Crissey

Furniture Transport Group

Brand consolidation drives profits for company

The wood products manufacturing market, where Lenoir, N.C.-based Furniture Transport Group is headquartered at the epicenter, has been decimated by the prolonged housing slump. The segment of the manufacturing industry is one of the few that is still contracting and has been for several years. Despite this and the fact that FTG is almost completely dedicated to this market makes the company’s revenue gain in 2010 a reason to celebrate.

Steven Lusty, FTG president and chief executive officer, credits FTG’s success to staying true to its core business. “While everybody else was diversifying into other markets and other revenue streams, Furniture Transport Group focused on its core competency and providing a quality service,” says Lusty. With a concentration on value-added services and expertise in hauling delicate furniture goods, FTG has grown into a leading carrier for furniture manufacturers on the East Coast.

In February 2009, Furniture Transport Group acquired Lance Transport, giving the company four specialized furniture carriers along with Caldwell Freight Lines, Foothills Trucking and MGM Transport.

Although the latest acquisition opened FTG up to markets in the Gulf Coast, Southwest and South Central regions of the United States, the four companies retained separate identities vying for the same freight. The decision was made in 2010 that a unified brand would help the group improve efficiencies.

“Carriers were focused on certain regions, but they could never offer their customer the full demographic of distribution,” says Lusty. “By putting the four companies together, it allows us to go to a customer and say, ‘We can handle your shipment anywhere in the United States.’ ”

FTG maintains distribution centers in Lenoir and High Point, N.C., as well as Houston, Miss., where the company can focus on its upholstered furniture customers, and has expanded its footprint to 43 states. Rather than add capacity in 2010, the restructuring allowed FTG to grow revenues by better utilizing the equipment it already had.

“When you put all four brands together, it creates density in each of the markets you serve,” says Lusty. “Instead of four companies sending four trucks to the same area, we can narrow it down to two to three trucks at full capacity.”

The biggest challenge during the consolidation was converting each separate entity to working with the same technology and a single software system.

“It takes awhile to get everything going in the same direction,” says Lusty, noting that the final software conversions were completed just last month. “When you have four companies, everyone is talking a different language. By getting everyone on the same page with the same software, we can create better efficiencies going forward.” – Jeff Crissey

Source of the CCJ Top 250 data

Data for the CCJ Top 250 is drawn from a combination of surveys of trucking companies and publicly available information, such as the Federal Motor Carrier Safety Administration’s Motor Carrier Management Information System, Form M annual financial reports filed with FMCSA and reports filed with the Securities and Exchange Commission. All carriers included in the ranking were given an opportunity to review for accuracy data obtained from public sources.


Ranking methodology

Commercial Carrier Journal’s ranking of companies is a blended scale based on a combination of revenue, total power units and number of drivers rather than a ranking simply by revenue. Companies considered for inclusion in the Top 250 were ranked from high to low by revenue, power units (weighted based on the type of power unit as discussed below) and drivers and assigned a rank in each category.

The numerical rank stored in each of the three fields was added together (revenue rank + vehicle rank + driver rank) to provide a rank sum. This sum then was ordered to provide the overall ranking assigned to each carrier, with the lowest sum receiving the highest rank.

A number of carriers failed to report actual 2010 revenue. In order to be included in the blended ranking, they were assigned – for blended ranking purposes only – a calculated revenue figure. This calculated revenue was based on the following:

• If the carrier had provided actual revenue in 2009, revenue growth was determined for carriers operating in the same industry segment that have provided both 2009 and 2010 revenue. The bottom 50 percent of performers then were isolated, and an average performance of that group was calculated. The result was applied to the 2009 revenue to determine calculated revenue for carriers failing to report actual revenue.

• If the carrier had not reported revenue for 2009, its 2010 revenues were calculated by multiplying the carrier’s total number of power units by a segment-specific revenue total per power unit. Revenue per power unit was calculated for all revenue-reporting carriers in that segment. The average of the bottom 50 percent of performers then was multiplied by the nonreporting carrier’s power units to achieve a calculated revenue figure.

Calculated revenue is discounted by using the average of the bottom 50 percent of performers so that carriers failing to report revenue are not given an undue advantage in the ranking. Calculated revenue will be different by some amount from actual revenue, but it is anticipated that for its part in the blended ranking the difference will be slight.

The power unit ranking, which represents an investment as much as a physical-count measure of trucking assets, took into account the difference between tractors and trucks. The assumption is that a for-hire carrier with 1,000 tractors has a greater investment in equipment than one with 1,000 straight trucks. For the purpose of the blended rank, a truck was weighted at half the value of a tractor.

In some cases we have chosen to report companies with common ownership separately because they are operated independently.
